What is the opportunity?

This is an opportunity to work in a multifaceted, fast paced environment as a key member of the team responsible for providing high quality corporate governance, secretarial and advisory services to the Board of Band Of Ireland UK. Working in this environment will provide the right candidate with an opportunity to broaden and deepen their skills.

You will support the UK Company Secretary in delivering high standard governance and secretariat services to the Board and Board Committees of BOI UK.

In this role, you will:

  • Ensure effective servicing of the UK Board of Directors and other Group subsidiary boards by arranging meetings, drafting agendas, collating, creating and issuing board packs (via Diligent), and attending and preparing draft minutes of board meetings.
  • Ensuring timely completion of statutory filings as well as maintenance and timely update of statutory records and registers.
  • Providing advice on company secretarial matters, including processes, statutory requirements, corporate governance matters and procedures.
  • Assisting with tasks as the need arises including director changes, liquidations, new company incorporations and share transfers.
  • Supervise corporate governance developments and prepare and maintain corporate governance related material for the website.

What will make you stand out?

  • Experience working in a company secretarial capacity, ideally including financial services experience.
  • Experience of attending board/committee meetings, producing high quality minutes.
  • Communication skills with a focus on accuracy and attention to detail
  • Organisational skills with the ability to complete within tight timeframes.
  • Confident to interact at a senior level in a proficient manner, challenging where vital.

Essential qualifications

A third level degree in a relevant field or relevant professional qualification, ideally ICSA.

More about the team

The UK Company Secretarial team is responsible for providing company secretarial and governance support to the Chair of the BOI UK Board, the UK Board of Directors, and Board Committees in addition to various other Group subsidiary boards and committees. The team is responsible for coordinating, attending and minuting board and committee meetings, maintaining statutory records and ensuring that relevant documents are filed with Companies House within statutory timeframes.

This is a hybrid role, based primarily at Gresham Street, London. We typically ask colleagues to spend a minimum of 8 days per month working in-person to support collaboration and connection. Specific arrangements will be confirmed by your recruiter to ensure they meet the needs of the role and team.
